Responsibilities

The Associate Counsel owns the development and implementation of risk management and compliance frameworks and policies and works in collaboration with the General Counsel and other legal team staff to manage legal matters for the organization and its fiscally sponsored organizations (FSOs), including: grants review, contracts drafting and review, advising on legal matters, and implements TSNE’s compliance framework.

 

Legal and Advisory

  • Serve as the primary legal advisor to assigned FSOs, providing excellent client service projects, collaborating across the organization to ensure projects’ legal needs are met, and working with Executive Directors to identify potential risks and implement risk management and compliance policies and strategies;
  • Serve as a legal advisor and resource to TSNE and provide legal advice on matters related to business structure, operations, and strategy;
  • Periodically review and provide guidance on the structure of FSOs;
  • Lead the risk assessment process for prospective FSOs;
  • Negotiate contracts for assigned internal teams and FSOs;
  • In collaboration with the General Counsel, manage investigations and other incidents related to TSNE’s FSOs;
  • Serve as a legal resource for TSNE’s business lines, including property and consulting, and;
  • Assist with managing external counsel engagements.

Risk Management and Compliance

  • Develop and implement risk management frameworks to assess and manage organization risk;
  • In collaboration with the General Counsel, develop and implement a tool for assessing the risk of new FSOs;
  • Support the General Counsel in reviewing, drafting, and updating organizational policies, procedures and controls in collaboration with department leads;
  • Support the General Counsel in developing, overseeing, and ensuring TSNE’s regulatory, contract, and compliance policies and processes and up-to-date and implemented with fidelity, including regulatory compliance, employment and labor law issues, information security, regulations, and restrictions pertaining to tax exempt status, fundraising law, trademark practices, and intellectual property protection;
  • Review and continuously monitor labor and employment laws in states in which TSNE has employees to ensure compliance;
  • Manage litigation holds;
  • Identify and track compliance requirements, including those requirements applicable to federally funded grants and contracts;
  • Identify risks for the organization and provide solutions for limiting exposure;
  • Manage the implementation of the annual organizational risk assessment, including the monitoring of compliance plans and preparation of audit reports and remediation plans;
  • Develop, implement, and manage trainings for new FSO staff members and advisory boards on risk management and compliance, collaborating with other internal teams to provide appropriate training in different areas (e.g. human resources, finance);
  • Develop, implement, and manage trainings for internal team and FSOs on risk identification and strategies for risk mitigation;
  • Develop, implement, and manage trainings for internal team and FSOs on risk management frameworks, policies and procedures.

Contracts and Grants 

  • Draft, review, and negotiate contracts and grants (including vendor agreements, leases, and fee for service contracts) on behalf of TSNE’s FSOs and TSNE’s internal teams, ensuring compliance with applicable funding terms, laws, and regulations including Uniform Guidance and TSNE policies;
  • Supports other legal team members in the contracts administration process, including the implementation of contracts management systems and training of internal teams and FSOs on contracts process;
  • As needed, advise fiscal sponsorship staff on proposal documentation and pre-award documentation for federal and private grants to ensure accuracy and compliance;
  • Collaborate with interdepartmental team to on-board on off-board FSOs;
  • Maintain and update contracts templates, as needed;
  • Provide backup supervision support for the Contracts Administrators, when appropriate.

Complete other tasks and projects related to the job, as needed.

Qualifications

We will consider exceptional candidates who demonstrate a strong combination of the specific qualifications and skills described below.

  • Law degree from an accredited law school with an active license in good standing to practice law in Massachusetts;
  • 3+ years of experience in risk management and compliance;
  • 5+ years of experience negotiating and drafting contracts of all types at substantial volume required;
  • Prior experience reviewing and negotiating grant agreements required, preferably including federal awards;
  • JD. required;
  • Familiarity with risk management software and the ability to identify and implement technology solutions related to risk management;
  • Ability to use software necessary to complete job functions;
  • Ability to provide high level of responsive customer service to stakeholders;
  • Ability to maintain client confidentiality;
  • Ability to work independently with limited day-to-day management oversight;
  • Ability to juggle multiple tasks and responsibilities and to track and meet deadlines;
  • Outstanding written and verbal communications skills;
  • Extremely well-organized with excellent attention-to-detail;
  • Ability to tactfully and diplomatically work through challenging situations with stakeholders;
  • Ability to effectively manage and professionally support direct reports;
  • Ability to work as a team player in a fast-paced, diverse, environment;

Compensation and Benefits

 

Location: Work is primarily performed at our main office at The NonProfit Center (89 South St. Suite 700, Boston, MA 02111). Work may be performed remotely with the ability to commute to the office as-needed.

Compensation: The starting salary for this position is $110,000.00/yr and is commensurate with experience.
